Whale TV -Terms of Use

Effective Date

These Terms of Use become effective on the date on which you first electronically accept them by clicking the “Agree” button or otherwise indicating acceptance through Whale TV’s designated online platform or system (the “Effective Date”).

By accessing or using any Whale TV websites, partner portals, developer tools, software, APIs, documentation, operating systems, or related services (together, the “Services”), you agree to these Terms of Use.

By clicking “Agree,”or otherwise indicating acceptance,you confirm that you have read, understood, and accepted these Terms of Use. If you do not agree, you may not access the Services or submit or distribute any Application via the Whale TV Ecosystem unless a separate written agreement is executed with WhaleTV.

1. Using Whale TV

The Services are provided for professional and commercial use only, mainly for development, testing, integration, and technical evaluation. You may use the Services only as allowed by law and these Terms. Whale TV may change, limit, or stop providing any part of the Services at any time.

These Terms donotgive you any right to distribute, commercialize, monetize, or promote applications or content on Whale TV devices. For the avoidance of doubt, these Terms of Use do not constitute a distribution, licensing, publishing, or commercialization agreement, and do not authorize the publication, distribution, or monetization of any application or content on Whale TV devices.Any such activities require a separate agreement with Whale TV.

2. Your Account

If you create an account, you are responsible for keeping your login details confidential. You are responsible for everything that happens under your account. Whale TV is not responsible for any loss or damage caused by someone else using your account or credentials.

Whale TV may refuse, suspend, or close accounts at any time if there is legal, security, technical, or business risk, or if you violate these Terms,or for any other reason.

3. Acceptable Use

You must use the Services in a lawful and reasonable wayand in compliance with these Terms. In particular, you must not:

  • attack, overload, or interfere with the platform or its security
  • try to bypass access controls or exploit vulnerabilities
  • reverse engineer, decompile, or try to obtain source code
  • use the Services for illegal, infringing, harmful, or offensive activities
  • scrape or harvest data in bulk
  • use the Services to build or test competing platforms

If you break these rules, Whale TV may suspend or terminate your access without noticeand may take any other action permitted under applicable law or any applicable agreement.

4. Apps and Content

Sending or uploading apps or content through the Services doesnotmean they will be reviewed, approved, published, or kept available. Whale TV can remove, restrict, or disable any app or content at any time, for any reason, including:

  • breach of these Terms or the law
  • violation of content, security, or technical policies
  • IP complaints or other third-party claims
  • technical issues or poor performance
  • reputational, legal, or business risk
  • government or regulator requests

Whale TV is not liable for any removal, restriction, or unavailability of apps, content, or related data.

When your access ends, Whale TV may delete related data, logs, and filesto the extent permitted by applicable law. Keep your own backups of anything important.

5. Intellectual Property

Whale TV and its licensors own all rights in the Services, including software, platforms, trademarks, and documentation. These Terms do not give you ownership of any Whale TV IP.

You keep the rights to your own apps and content. By submitting them through the Services, you give Whale TV a non-exclusive, royalty-free, non-transferable, non- sublicensable license to use, test, display, and analyze them solely for the purposes of operating, maintaining, securing, and improving the Services, and for compliance with applicable laws and regulations. This license does not transfer ownership of your apps or content or any intellectual property rights therein.

6. Privacy and Data

Your use of the Services is subject to the Whale TV Privacy Policy, which explains how personal data may be collected and used.

Whale TV may collect technical and usage data (such as logs, performance data, error reports, and security signals) solely to keep the platform secure, improve the Services, and meet legal duties. For the avoidance of doubt, Whale TV does not act as a data controller or data processor in respect of any personal data processed within or by your apps or content.You are responsible for complying with data protection laws and obtaining all necessary consentsin relation to your own apps, content, and end users.

7. No Warranties

The Services are provided“AS IS”and“AS AVAILABLE”. To the maximum extent permitted by applicable law,Whale TV makes no promises or guarantees about the Services, including that they will be uninterrupted, error-free, secure, or fit for any particular purpose.

Whale TV does not promise that:

  • your app or content will be approved, distributed, or promoted
  • any API or feature will stay the same or remain available
  • the Services will meet any performance or uptime level

You use the Services at your own risk.

8. Support

Whale TV does not have to provide support, updates, or bug fixes for the Services. Any help that Whale TV does provide is voluntary,provided on an “AS IS”basis, and without any guaranteeor obligation.

9. Limitation of Liability

To the maximum extent permitted by applicable law,Whale TV is not responsible for:

  • indirect, incidental, special, or consequential damages
  • loss of data, revenue, profits, or business opportunities
  • claims by third parties
  • any damage caused by interruption, suspension, or end of access
  • errors or omissions in information or documentation

In no event shall Whale TV be liable for any damages arising out of or relating to your use of, or inability to use, the Services.

If some laws do not allow certain limits, those limits apply only as far as allowed by those laws.

10. Your Responsibility to Whale TV

If any third partymakes a claim against Whale TV because of your use of the Services, your apps, or your content, or because you break these Terms oror violate applicable law, you agree to defend, indemnify and hold harmlessWhale TV against that claim, including reasonable legal costs.

11. Changes and Termination

Whale TV may change these Terms from time to time. Whale TV will notify you of any material changes by email, system notice, or other reasonable means. Unless you submit a written objection within thirty (30) days after receiving such notice, when you continue using the Services after a change, you accept the updated Terms. If you object to the changes, you may stop using the Services and terminate your account.

Whale TV may suspend or stop providing the Services, or your access to them, at any time, to the extent permitted by applicable law,with or without notice, and for any reason or no reason. When your access ends, you must stop using the Services, and Whale TV may delete your data and content from its systemsto the extent permitted by applicable law.

12. Governing Law and Disputes

These Terms are governed by the laws of Singapore. Any dispute related to these Terms or the Services shall be finally resolvedby arbitration at the Singapore International Arbitration Centre (SIAC), in Singapore, in English, in accordance with the SIAC Rules in force at the time of the commencement of the arbitration. Either party may still ask a court for urgent injunctive relief (for example, to protect intellectual property).

13. General

If any part of these Terms is found invalid or unenforceable, the rest will still applyto the maximum extent permitted by applicable law. These Terms, together with the Privacy Policy and any separate written commercial agreemententered into between you and Whale TV(if signed), are the entire agreement about your use of the Services.

You may not transfer your rights or obligations under these Terms without Whale TV’s prior writtenconsent. Whale TV may transfer its rights and obligations under these Termsat any timewithout restriction.
